Terms and Conditions
Commercial terms for sourcing and transaction support services.
1. Scope
These Terms and Conditions apply to all business relationships between Lumipra GmbH, Speditionstrasse 15a, 40221 Dusseldorf, Germany (hereinafter "Lumipra") and its business customers (hereinafter "Client").
Services are provided exclusively to entrepreneurs (B2B) and not to consumers.
2. Nature of Services
Lumipra provides services related to sourcing and facilitating the acquisition of machinery, equipment, and industrial assets from various sources, including but not limited to:
- auctions
- direct sellers
- third-party suppliers
- Lumipra primarily acts as an intermediary between buyers and sellers
- In certain cases, Lumipra may act on behalf of the Client (agency model) or purchase goods and resell them to the Client
- The exact role is determined on a case-by-case basis
3. Non-Binding Inquiries
All inquiries submitted via the website or other communication channels are non-binding.
- A binding agreement is only concluded upon explicit written confirmation
- Issuance of an invoice or contract by Lumipra
4. Prices and Offers
Any prices, specifications, descriptions, or availability indications published on the website are non-binding and subject to change unless expressly agreed otherwise in writing.
5. Client Responsibility
The Client is responsible for independently verifying whether the offered machinery or equipment is suitable for its intended use, unless Lumipra has explicitly agreed to provide technical evaluation services.
6. Liability
Lumipra is liable only for intent and gross negligence, except where mandatory statutory liability applies. In cases where Lumipra acts solely as an intermediary, the seller remains responsible for the condition, quality, and conformity of the goods unless otherwise agreed.
7. Applicable Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany. The place of jurisdiction for all disputes is Dusseldorf, Germany, to the extent permitted by law.
8. Severability
If any provision of these Terms is invalid, the remaining provisions remain unaffected.
